elementor-element-6890ceb4 elementor-widget elementor-widget-text-editor\" data-id=\"6890ceb4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h3>\u00a0<\/h3><h3><span style=\"font-weight: normal;\">Rozsah platnosti<\/span><\/h3><p>(1) V\u0161echny produkty nab\u00edzen\u00e9 spole\u010dnost\u00ed openthinclient (hardware i software) jsou ur\u010deny v\u00fdhradn\u011b pro podnikatele, stejn\u011b jako tyto obchodn\u00ed podm\u00ednky.<\/p><p>(2) Na v\u0161echny smlouvy mezi spole\u010dnost\u00ed openthinclient gmbh, Heilbronner Str. 150, 70191 Stuttgart (d\u00e1le jen \"openthinclient\") a z\u00e1kazn\u00edkem, pokud je z\u00e1kazn\u00edk podnikatelem ve smyslu \u00a7 14 n\u011bmeck\u00e9ho ob\u010dansk\u00e9ho z\u00e1kon\u00edku (BGB), plat\u00ed v\u00fdlu\u010dn\u011b tyto v\u0161eobecn\u00e9 obchodn\u00ed podm\u00ednky.<\/p><p>Obchodn\u00ed podm\u00ednky klienta jsou spole\u010dnost\u00ed openthinclient uzn\u00e1ny pouze s jejich souhlasem v p\u00edsemn\u00e9 form\u011b.<\/p><h3><span style=\"font-weight: normal;\">2. Uzav\u0159en\u00ed smlouvy<\/span><\/h3><p>Nab\u00eddky jednotliv\u00fdch slu\u017eeb na webov\u00fdch str\u00e1nk\u00e1ch openthinclient nep\u0159edstavuj\u00ed z\u00e1vaznou nab\u00eddku k uzav\u0159en\u00ed smlouvy. Smlouvy mezi openthinclient a z\u00e1kazn\u00edkem se uzav\u00edraj\u00ed pouze v souladu s n\u00e1sleduj\u00edc\u00edmi ustanoven\u00edmi:<\/p><p>a) Uzav\u0159en\u00ed smlouvy o u\u017e\u00edv\u00e1n\u00ed softwaru openthinclient<br \/>aa) bezplatn\u00e9 u\u017e\u00edv\u00e1n\u00ed<br \/>(1) openthinclient poskytuje z\u00e1kazn\u00edkovi software openthinclient (\u201esoftware\u201c) pro a\u017e 24 klient\u016f bezplatn\u011b. Bezplatn\u00e9 poskytov\u00e1n\u00ed je dobrovoln\u00e9 a m\u016f\u017ee ho spole\u010dnost openthinclient kdykoli s platnost\u00ed do budoucna ukon\u010dit nebo zm\u011bnit. Z\u00e1kazn\u00edk nem\u00e1 n\u00e1rok na bezplatn\u00e9 pou\u017e\u00edv\u00e1n\u00ed.<\/p><p>(2) P\u0159i bezplatn\u00e9m pou\u017e\u00edv\u00e1n\u00ed nem\u00e1 z\u00e1kazn\u00edk n\u00e1rok na podporu, opravu chyb, aktualizace, upgrady ani jin\u00e9 servisn\u00ed slu\u017eby. openthinclient m\u016f\u017ee takov\u00e9 slu\u017eby poskytovat dobrovoln\u011b, ani\u017e by t\u00edm vznikl budouc\u00ed pr\u00e1vn\u00ed n\u00e1rok z\u00e1kazn\u00edka.<\/p><p>(3) Bezplatn\u00fd software je z\u00e1kazn\u00edkovi poskytov\u00e1n \u201etak, jak je\u201c a \u201ejak je dostupn\u00fd\u201c. openthinclient negarantuje, \u017ee software je bez chyb, \u017ee bude fungovat nep\u0159etr\u017eit\u011b, nebo \u017ee je vhodn\u00e1 pro konkr\u00e9tn\u00ed \u00fa\u010dely.<\/p><p>(4) Z\u00e1kazn\u00edk nese v\u00fdhradn\u00ed odpov\u011bdnost za instalaci, provoz a prost\u0159ed\u00ed pro pou\u017eit\u00ed softwaru.<\/p><p>(5) Z\u00e1kazn\u00edk je s\u00e1m odpov\u011bdn\u00fd za \u0159\u00e1dnou instalaci, zabezpe\u010den\u00ed a provoz softwaru. Zejm\u00e9na je povinen p\u0159ijmout vhodn\u00e1 bezpe\u010dnostn\u00ed opat\u0159en\u00ed (nap\u0159. z\u00e1lohov\u00e1n\u00ed dat, ochrana p\u0159\u00edstupu).<\/p><p>(6) openthinclient si vyhrazuje pr\u00e1vo kdykoli s p\u0159im\u011b\u0159enou v\u00fdpov\u011bdn\u00ed lh\u016ftou (minim\u00e1ln\u011b 14 dn\u00ed) zastavit poskytov\u00e1n\u00ed bezplatn\u00e9ho softwaru nebo jej nahradit placenou verz\u00ed. Z\u00e1kazn\u00edk z toho nem\u00e1 \u017e\u00e1dn\u00e9 n\u00e1roky.<\/p><p>bb) placen\u00e9 pou\u017e\u00edv\u00e1n\u00ed<br \/>(1) Pokud si z\u00e1kazn\u00edk p\u0159eje vyu\u017e\u00edvat 25 nebo v\u00edce klient\u016f, je k tomu nutn\u00e9 uzav\u0159\u00edt samostatnou p\u00edsemnou smlouvu. Formul\u00e1\u0159 smlouvy bude z\u00e1kazn\u00edkovi na vy\u017e\u00e1d\u00e1n\u00ed zasl\u00e1n od spole\u010dnosti openthinclient.<\/p><p>N\u00e1klady na u\u017e\u00edv\u00e1n\u00ed softwaru vypl\u00fdvaj\u00ed z t\u00e9to smlouvy.<\/p><p>Ustanoven\u00ed ve smluvn\u00edm formul\u00e1\u0159i, kter\u00fd byl z\u00e1kazn\u00edkovi zasl\u00e1n samostatn\u011b, maj\u00ed p\u0159ednost p\u0159ed ustanoven\u00edmi t\u011bchto VOP, pokud by se jednotliv\u00e1 ustanoven\u00ed m\u011bla k\u0159\u00ed\u017eit.<\/p><p>(4) Pokud z\u00e1kazn\u00edk provozuje na v\u00edce m\u00edstech tenk\u00e9 klienty, zapo\u010d\u00edt\u00e1vaj\u00ed se tito dohromady pro rozhoduj\u00edc\u00ed po\u010det tenk\u00fdch klient\u016f uveden\u00fdch v\u00fd\u0161e.<\/p><p>b) Uzav\u0159en\u00ed smlouvy p\u0159i n\u00e1kupu hardwaru<br \/>Kupn\u00ed smlouva na hardware je uzav\u0159ena a\u017e pot\u00e9, co openthinclient potvrd\u00ed objedn\u00e1vku z\u00e1kazn\u00edka prost\u0159ednictv\u00edm e-mailu po jej\u00edm dokon\u010den\u00ed na webu openthinclient.<\/p><h3><span style=\"font-weight: normal;\">3. Dod\u00e1n\u00ed a doprava <\/span><strong><br \/><\/strong><\/h3><p>Dod\u00e1n\u00ed prob\u00edh\u00e1 pouze do vy\u010derp\u00e1n\u00ed z\u00e1sob.<\/p><p>Dodac\u00ed lh\u016fty jsou uvedeny na p\u0159\u00edslu\u0161n\u00fdch produktov\u00fdch str\u00e1nk\u00e1ch.<\/p><p>(3) V p\u0159\u00edpad\u011b po\u017eadavku z\u00e1kazn\u00edka na zm\u011bny nebo dopl\u0148ky se dodac\u00ed lh\u016fta prodlu\u017euje o dobu pot\u0159ebnou k realizaci t\u011bchto speci\u00e1ln\u00edch po\u017eadavk\u016f.<\/p><p>N\u00e1klady na dopravu a dopravn\u00ed poji\u0161t\u011bn\u00ed nese z\u00e1kazn\u00edk, p\u0159i\u010dem\u017e volba zp\u016fsobu a druhu dopravy je pln\u011b na uv\u00e1\u017een\u00ed spole\u010dnosti openthinclient.<\/p><p>(5) Z\u00e1kazn\u00edk je povinen zbo\u017e\u00ed po obdr\u017een\u00ed neprodlen\u011b prohl\u00e9dnout a zjevn\u00e1 \u010di zji\u0161t\u011bn\u00e1 po\u0161kozen\u00ed p\u0159i p\u0159eprav\u011b, jako\u017e i jak\u00e9koli po\u0161kozen\u00ed obalu, bez zbyte\u010dn\u00e9ho odkladu a v p\u00edsemn\u00e9 form\u011b ozn\u00e1mit.<\/p><p>(6) openthinclient je opr\u00e1vn\u011bn kdykoli prov\u00e1d\u011bt \u010d\u00e1ste\u010dn\u00e1 dod\u00e1n\u00ed a \u010d\u00e1ste\u010dn\u00e1 pln\u011bn\u00ed.<\/p><h3><span style=\"font-weight: normal;\">4. Platebn\u00ed podm\u00ednky a ceny<\/span><\/h3><p>(1) openthinclient vystavuje z\u00e1kazn\u00edkovi faktury za dodan\u00e9 zbo\u017e\u00ed a slu\u017eby. Tyto faktury jsou splatn\u00e9 ihned.<\/p><p>(2) V p\u0159\u00edpad\u011b prodlen\u00ed z\u00e1kazn\u00edka se spl\u00e1tkou je spole\u010dnost openthinclient opr\u00e1vn\u011bna pozastavit dal\u0161\u00ed dod\u00e1vky a slu\u017eby.<\/p><p>Pokud nen\u00ed uvedeno jinak, uveden\u00e9 ceny jsou netto ceny, ke kter\u00fdm se p\u0159ipo\u010d\u00edt\u00e1v\u00e1 p\u0159\u00edslu\u0161n\u00e1 sazba DPH.<\/p><h3><span style=\"font-weight: normal;\">5. V\u00fdhrada vlastnictv\u00ed<\/span><\/h3><p>(1) Dodan\u00e9 zbo\u017e\u00ed z\u016fst\u00e1v\u00e1 do \u00fapln\u00e9ho zaplacen\u00ed v\u0161ech pohled\u00e1vek spole\u010dnosti openthinclient ze smlouvy se z\u00e1kazn\u00edkem jak ve vztahu k jistin\u011b, tak p\u0159\u00edslu\u0161enstv\u00ed majetkem spole\u010dnosti openthinclient.<\/p><p>(2) Z\u00e1kazn\u00edk p\u0159im\u011b\u0159en\u011b pojist\u00ed v\u011bci, kter\u00e9 jsou p\u0159edm\u011btem v\u00fdhrady vlastnictv\u00ed, prost\u0159ednictv\u00edm sv\u00e9ho obvykl\u00e9ho poji\u0161t\u011bn\u00ed (nap\u0159. poji\u0161t\u011bn\u00ed podnik\u00e1n\u00ed nebo invent\u00e1\u0159e), pokud je to ekonomicky p\u0159ijateln\u00e9. V p\u0159\u00edpad\u011b pojistn\u00e9 ud\u00e1losti se n\u00e1rok z\u00e1kazn\u00edka z poji\u0161t\u011bn\u00ed na v\u011bci, kter\u00e9 jsou p\u0159edm\u011btem v\u00fdhrady vlastnictv\u00ed spole\u010dnosti openthinclient, pova\u017euje za postoupen\u00fd spole\u010dnosti openthinclient.<\/p><p>(3) V p\u0159\u00edpad\u011b exekuc\u00ed nebo zaji\u0161t\u011bn\u00ed mus\u00ed z\u00e1kazn\u00edk okam\u017eit\u011b p\u00edsemn\u011b informovat spole\u010dnost openthinclient a vhodn\u00fdm zp\u016fsobem okam\u017eit\u011b upozornit t\u0159et\u00ed strany na v\u00fdhradu vlastnictv\u00ed spole\u010dnosti openthinclient. V p\u0159\u00edpad\u011b, \u017ee z\u00e1kazn\u00edk p\u0159esto prod\u00e1 dod\u00e1van\u00e9 zbo\u017e\u00ed a openthinclient to schv\u00e1l\u00ed, z\u00e1kazn\u00edk postoup\u00ed spole\u010dnosti openthinclient ve\u0161ker\u00e9 n\u00e1roky v\u016f\u010di sv\u00fdm odb\u011bratel\u016fm ji\u017e p\u0159i uzav\u0159en\u00ed smlouvy. Z\u00e1kazn\u00edk je povinen poskytnout spole\u010dnosti openthinclient ve\u0161ker\u00e9 informace nezbytn\u00e9 pro uplatn\u011bn\u00ed t\u011bchto pr\u00e1v a prov\u00e9st nezbytn\u00e9 sou\u010dinnosti.<\/p><p>(4) Vlastnictv\u00ed dodan\u00e9ho zbo\u017e\u00ed p\u0159ech\u00e1z\u00ed na z\u00e1kazn\u00edka a\u017e pot\u00e9, co z\u00e1kazn\u00edk uhrad\u00ed ve\u0161ker\u00e9 pohled\u00e1vky z existuj\u00edc\u00edho obchodn\u00edho vztahu se spole\u010dnost\u00ed openthinclient.<\/p><p>(5) Z\u00e1kazn\u00edk je opr\u00e1vn\u011bn s v\u00fdhradou odvol\u00e1n\u00ed d\u00e1le prodat vyhrazen\u00e9 zbo\u017e\u00ed ve sv\u00e9m obvykl\u00e9m obchodn\u00edm styku se zachov\u00e1n\u00edm v\u00fdhrady vlastnictv\u00ed, av\u0161ak nikoli je zastavit nebo p\u0159ev\u00e9st do vlastnictv\u00ed za \u00fa\u010delem zaji\u0161t\u011bn\u00ed. Z\u00e1kazn\u00edk ji\u017e nyn\u00ed postupuje ve\u0161ker\u00e9 pohled\u00e1vky, kter\u00e9 mu z dal\u0161\u00edho prodeje vzniknou v\u016f\u010di t\u0159et\u00edm stran\u00e1m.<\/p><h3><span style=\"font-weight: normal;\">6. Omezen\u00ed odpov\u011bdnosti<\/span><\/h3><p>N\u00ed\u017ee uveden\u00e9 omezen\u00ed odpov\u011bdnosti se nevztahuje na \u00fajmu na \u017eivot\u011b, zdrav\u00ed nebo t\u011ble z\u00e1kazn\u00edka ani na odpov\u011bdnost podle z\u00e1kona o odpov\u011bdnosti za v\u00fdrobky.<\/p><p>(2) Openthinclient nenese zodpov\u011bdnost za funk\u010dnost veden\u00ed k server\u016fm, p\u0159i v\u00fdpadc\u00edch proudu a p\u0159i v\u00fdpadc\u00edch server\u016f, kter\u00e9 nejsou v jeho dosahu.<\/p><p>(3) Pokud je spole\u010dnosti openthinclient p\u0159i\u010dtena \u00famysln\u00e1 nebo hrub\u011b nedbal\u00e1 vina, odpov\u00edd\u00e1 openthinclient podle z\u00e1konn\u00fdch ustanoven\u00ed.<\/p><p>(4) Pokud lze spole\u010dnosti openthinclient p\u0159ipsat pouze nedbal\u00e9 poru\u0161en\u00ed smlouvy, spole\u010dnost openthinclient odpov\u00edd\u00e1 pouze za poru\u0161en\u00ed podstatn\u00e9 smluvn\u00ed povinnosti, na jej\u00ed\u017e dodr\u017een\u00ed m\u016f\u017ee z\u00e1kazn\u00edk pravideln\u011b spol\u00e9hat (kardin\u00e1ln\u00ed povinnost). Odpov\u011bdnost je p\u0159itom v\u00fd\u0161\u00ed omezena na p\u0159edv\u00eddatelnou \u0161kodu, kter\u00e1 typicky nast\u00e1v\u00e1 v souvislosti se smlouvou.<\/p><p>Pokud nen\u00ed ve v\u00fd\u0161e uveden\u00e9m stanoveno jinak, odpov\u011bdnost spole\u010dnosti openthinclient je vylou\u010dena. Spole\u010dnost openthinclient zejm\u00e9na neodpov\u00edd\u00e1 za ztr\u00e1tu dat jak\u00e9hokoli druhu, pokud jsou tato data vymaz\u00e1na v d\u016fsledku \u00fatok\u016f zven\u010d\u00ed (tzv. hackersk\u00fdch \u00fatok\u016f), pokud z v\u00fd\u0161e uveden\u00e9ho nevypl\u00fdv\u00e1 nic jin\u00e9ho. Stejn\u011b tak spole\u010dnost openthinclient neodpov\u00edd\u00e1 za \u0161kody, kter\u00e9 z\u00e1kazn\u00edkovi vzniknou v d\u016fsledku toho, \u017ee jeho osobn\u00ed nebo jin\u00e1 data budou z\u00edsk\u00e1na a zneu\u017eita t\u0159et\u00edmi stranami prost\u0159ednictv\u00edm tzv. hackersk\u00fdch \u00fatok\u016f, pokud z v\u00fd\u0161e uveden\u00e9ho nevypl\u00fdv\u00e1 nic jin\u00e9ho.<\/p><h3><span style=\"font-weight: normal;\">7. Z\u00e1ruka a reklamace<\/span><\/h3><p>(1) openthinclient nep\u0159ij\u00edm\u00e1 \u017e\u00e1dn\u00e9 pr\u00e1vn\u00ed z\u00e1ruky, pokud nejsou v\u00fdslovn\u011b ozna\u010deny v textov\u00e9 podob\u011b jako \u201ez\u00e1ruka\u201c.<\/p><p>(2) Z\u00e1ru\u010dn\u00ed doba \u010din\u00ed jeden rok od p\u0159evzet\u00ed zbo\u017e\u00ed a\/nebo instalace softwaru z\u00e1kazn\u00edkem.<\/p><p>(3) Pokud se v z\u00e1ru\u010dn\u00ed lh\u016ft\u011b objev\u00ed vada, je z\u00e1kazn\u00edk povinen ji neprodlen\u011b p\u00edsemn\u011b ozn\u00e1mit spole\u010dnosti openthinclient. V r\u00e1mci t\u00e9to reklamace je nutn\u00e9 uv\u00e9st konkr\u00e9tn\u00ed informace o vznikl\u00e9 vad\u011b. Komer\u010dn\u00ed povinnosti prozkoum\u00e1n\u00ed a reklamace z\u016fst\u00e1vaj\u00ed nedot\u010deny.<\/p><p>(4) Je zbo\u017e\u00ed vadn\u00e9, pak zp\u016fsob n\u00e1pravy z\u00e1vis\u00ed na spole\u010dnosti openthinclient.<\/p><p>(5) Z\u00e1ruka se nevztahuje na odstran\u011bn\u00ed z\u00e1vad vznikl\u00fdch norm\u00e1ln\u00edm opot\u0159eben\u00edm, vn\u011bj\u0161\u00edmi vlivy, opravami a zm\u011bnami neopr\u00e1vn\u011bn\u00fdmi t\u0159et\u00edmi stranami nebo chybami p\u0159i obsluze, jako\u017e i na neopakovateln\u00e9 softwarov\u00e9 chyby, za kter\u00e9 spole\u010dnost openthinclient nenese odpov\u011bdnost.<\/p><p>(6) Z\u00e1ruka zanik\u00e1, pokud z\u00e1kazn\u00edk odm\u00edtne opravy nebo s\u00e1m provede nebo nech\u00e1 prov\u00e9st t\u0159et\u00ed osobou \u00fapravy za\u0159\u00edzen\u00ed, prvk\u016f nebo dopl\u0148k\u016f bez souhlasu openthinclient, pokud z\u00e1kazn\u00edk pln\u011b neprok\u00e1\u017ee, \u017ee nedostatky, kter\u00e9 jsou st\u00e1le v ot\u00e1zce, nebyly t\u011bmito \u00fapravami zp\u016fsobeny ani celkov\u011b, ani \u010d\u00e1ste\u010dn\u011b, a \u017ee odstran\u011bn\u00ed nedostatk\u016f nen\u00ed \u00fapravou zt\u00ed\u017eeno.<\/p><p>(7) openthinclient m\u016f\u017ee v r\u00e1mci sv\u00e9 z\u00e1ru\u010dn\u00ed povinnosti opravit nebo vym\u011bnit vadn\u00e1 za\u0159\u00edzen\u00ed, prvky, dodatky nebo \u010d\u00e1sti. V rozsahu nezbytn\u00e9m pro tento \u00fa\u010del odstran\u00ed z\u00e1kazn\u00edk p\u0159ed v\u00fdm\u011bnou programy a komponenty (v\u010detn\u011b sv\u00fdch aplika\u010dn\u00edch program\u016f, dat, nosi\u010d\u016f dat, zm\u011bn a dopl\u0148k\u016f).<\/p><h3><span style=\"font-weight: normal;\">8. Software<\/span><\/h3><p>(1) Pro smlouvy o softwaru plat\u00ed dodate\u010dn\u011b n\u00e1sleduj\u00edc\u00ed ustanoven\u00ed:<\/p><p>(2) Spole\u010dnost openthinclient vynakl\u00e1d\u00e1 zna\u010dn\u00e9 \u00fasil\u00ed prost\u0159ednictv\u00edm pravideln\u00fdch opat\u0159en\u00ed k zaji\u0161t\u011bn\u00ed kvality, podpory a aktualizac\u00ed, aby bylo dosa\u017eeno maxim\u00e1ln\u00edho mo\u017en\u00e9ho stavu bez vad softwarov\u00fdch produkt\u016f. Jak je obecn\u011b zn\u00e1mo, je v\u0161ak v\u00fdvoj zcela bezchybn\u00e9ho softwaru t\u00e9m\u011b\u0159 nemo\u017en\u00fd. Z\u00e1kazn\u00edk m\u00e1 proto pr\u00e1vo na odstoupen\u00ed od smlouvy nebo na sn\u00ed\u017een\u00ed ceny pouze tehdy, pokud se chyba programu uk\u00e1\u017ee jako nejen zanedbateln\u00e1 a nepodstatn\u00e1 pro celkov\u00fd rozsah smluvn\u00edho pln\u011bn\u00ed.<\/p><p>(3) Instalaci a aktualizace softwaru provede spole\u010dnost openthinclient na \u017e\u00e1dost z\u00e1kazn\u00edka. Tato slu\u017eba bude \u00fa\u010dtov\u00e1na zvl\u00e1\u0161\u0165.<\/p><h3><span style=\"font-weight: normal;\">9.
